This Independent Contractor Agreement (this “Agreement” or these “Terms”) is a legally binding agreement between you, the independent contractor (the “Pro” or “You”), and Eigensphere, Inc. (“Doable,” “we,” or “us”). You agree to be bound by this Agreement if you access or use the Doable Platform to offer or perform services for Customers, as further described in Section 2 (“Pro Services”). If you are entering into this Agreement on behalf of a business, organization, or other entity, you represent and warrant that you have the legal authority to bind that entity to this Agreement, in which case the use of “Pro” or “You” shall refer to that entity.
By entering into this Agreement, you acknowledge and agree to be bound by the Doable Terms & Conditions and Privacy Policy. Any capitalized terms not defined within this Agreement shall have the definition given to them in the Doable Terms & Conditions.
IMPORTANT – PLEASE READ CAREFULLY: THIS AGREEMENT CONTAINS A MUTUAL ARBITRATION AGREEMENT IN SECTION 7, WHICH REQUIRES THE RESOLUTION OF DISPUTES, CLAIMS, AND/OR DISAGREEMENTS BETWEEN YOU AND DOABLE THROUGH FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. BY ACCEPTING THIS AGREEMENT, YOU CERTIFY THAT YOU HAVE READ, UNDERSTOOD, AND VOLUNTARILY AGREE TO ALL TERMS OF THIS AGREEMENT, INCLUDING THE MUTUAL ARBITRATION PROVISION, AND HAVE SOUGHT ANY ASSISTANCE NECESSARY TO UNDERSTAND AND CONSIDER THE CONSEQUENCES OF ACCEPTING THIS AGREEMENT.
Doable provides a mobile and web-based technology platform that connects businesses and individuals who offer services (“Pros”) with individuals who search for, book, or use services (“Customers”) (together, “Users”). The Platform facilitates these services. Doable is neither a seller of the Services offered by Pros on the Platform nor a service itself. Doable is strictly a technology company that has created the Platform to facilitate the Services offered by Pros to Customers by permitting Pros to list Services on the Platform. Doable does not supervise, direct, or control the manner or means by which any Pro provides Services, and has no responsibility or liability for the quality, timing, legality, or failure to provide any such Services.
You are an independent provider of the Services who is authorized to perform such Services in the geographical location in which you operate. You acknowledge and agree that you are entering into this Agreement as an independent contractor, and not as an employee of Doable. For further clarification, this is not an employment agreement, and nothing in this Agreement shall create an employment relationship between the Parties, or any third party. You acknowledge that when you provide Services through the Platform, you are doing so on your own behalf, and not on behalf of Doable.
As a Pro on the Platform, you represent, warrant, and agree that:
You have the full power, authority, and capacity to enter into this Agreement and to perform your obligations herein.
You and any of your Personnel possess, and will maintain, all required licenses, permits, certifications, skills, training, knowledge, and insurance necessary to provide and perform the Services offered through the Platform, in compliance with all applicable laws, regulations, and industry standards.
You and any of your Personnel will comply with all applicable laws, rules, and regulations in connection with your performance of the Services and use of the Platform.
Doable reserves the right, in its sole discretion, to remove, suspend, or restrict your access to the Platform, or to require modifications to your Service listings, for any reason or no reason, including but not limited to violations of this Agreement.
Pursuant to our Community Guidelines, you and any of your Personnel will not discriminate against any other User.
You and any of your Personnel will not engage in any fraudulent, deceptive, or illegal conduct in connection with the Services, including but not limited to misrepresenting Services or attempting to defraud Doable or any Customer.
You are solely responsible for paying any applicable local, state, or federal taxes for payments received by you, including cash gratuities, as a result of performing the Services.
You and any of your Personnel are at least 18 years old and legally authorized to work in the jurisdiction(s) in which Services are performed.
From time to time, you may receive notifications through the Platform of an opportunity to perform Services that have been booked by a Customer (each, a “Service Opportunity”). If you accept a Service Opportunity, you agree that you will perform the specific Service(s) requested by the Customer in a timely, professional, and safe manner.
You acknowledge and explicitly agree that you are an independent provider of the Services and are operating a business that is separate from Doable. You further agree that you are not an employee of Doable, and that training is neither required nor provided by Doable to perform the Services. You are not required by Doable to purchase, wear, or use any Doable-branded clothing, equipment, or product, including ones that contain Doable's, name, or logo.
You are under no obligation to accept any Service Opportunity. You are free to accept, reject, or ignore any Service Opportunity in your sole discretion and business judgment. You acknowledge that Doable does not set any minimum or maximum number of Services that you are obligated to perform. Furthermore, you acknowledge that you are responsible for determining and selecting the most efficient, effective, and safe means of performing the Services, and Doable shall have no control over the means by which you perform the Services. If you choose to perform the Services, you are also responsible for doing so in a safe and lawful manner.
You are free to determine and select the times in which you intend to use or access the Platform, including setting and updating your availability information. Doable does not impose any minimum time commitments or schedules.
To perform Services through the Platform, you may need to possess certain tools, vehicles, or equipment, such as a mobile phone (collectively, “Equipment”). You agree that you possess the necessary Equipment to perform the Services listed in this agreement, and understand that you are under no obligation to purchase, lease, rent, or borrow any Equipment from Doable in order to perform the Services, or as a condition of entering into this Agreement. You are responsible for ensuring that any Equipment you use conforms to any and all applicable laws, and for all costs and expenses incurred for performing the Services, including without limitation traffic tickets, tolls, fuel, repairs, insurance, inspections, maintenance, data usage, depreciation, and any other costs or expenses.
You agree that Doable may, in its sole discretion, require you to consent to and pass a background check, at any time and for any reasonable reason, for you to retain or gain access to the Platform.
You agree that there is no minimum or maximum number of Service Opportunities that Doable is obligated to make available to you.
If you fail to complete a Service (a “Service Failure”) due to your omission(s) or fault, you may be required to forfeit all or part of the agreed-upon compensation for that Service.
Subject to the terms of this Agreement, you may engage employees or subcontractors (collectively, “Personnel”) to assist you in performing Services through the Platform. You are fully responsible for your Personnel, including their performance of the Services and their compliance with this Agreement.
You are fully responsible for (i) the payment and compensation of all amounts, including any benefits and/or expenses, to your Personnel (ii) any payment from your Personnel to you and (iii) all required local, state, and federal income tax withholdings, unemployment insurance, and social security taxes related to your Personnel. Doable is not responsible for withholding any compensation from your Personnel.
Any Personnel engaged by you to perform Services must (i) be at least 18 years old (ii) be legally authorized to perform such Services in the applicable jurisdiction (iii) satisfy any background check requirements imposed by Doable and (iv) use their own individual Doable account, with their own username and password, to access and perform Services on the Platform.
You acknowledge and agree that you enter into this Agreement as an independent contractor, and that you and Doable are in a business relationship. You understand that (i) you operate a business that is independent and separate from Doable; (ii) you are providing Services under this Agreement as an independent contractor, and not as an employee of Doable; (iii) this Agreement does not create a joint-venture, partnership, agency, or any business entity; and (iv) this Agreement is not an employment agreement, and does not create an employment relationship between you and Doable, and you will neither receive nor be entitled to any employee benefits available to Doable employees.
You have no authority to bind Doable to any contract or agreement, or to present yourself as an officer, director, employee, or representative of Doable
You have the right to perform services for another company or customer, even if such services are in direct competition with Doable. However, you agree that you will not use or access the Platform with the intent of providing information about the Platform, including its operations, to a competing business. Your right to compete with Doable or perform services for another company or customer that competes with Doable shall survive termination of this Agreement.
You acknowledge and agree that you are solely responsible for obtaining, maintaining, and paying for any insurance necessary to perform the Services, including but not limited to workers’ compensation insurance, health insurance, medical insurance, unemployment insurance, automobile insurance, and liability insurance, as required by applicable law or industry standards.
You acknowledge and agree that you are solely responsible for determining your tax obligations and for paying any and all taxes and/or contributions, and you agree that Doable has no responsibility to withhold or pay any taxes, contributions, penalties, fines, fees, or levies on behalf of you or any of your Personnel, and shall not be held liable for any consequences resulting from your failure to comply with tax obligations.
You acknowledge and agree that you will be paid for each individual Service that you fully complete and in accordance with the rate you set through the Platform. Doable uses Stripe as a third-party payment processor, and all payments to you are processed via Stripe.
You may invoice Customers through the Platform for reasonable additional expenses incurred in the performance of a Service, including but not limited to parts or materials, provided that (i) you disclose to the Customer the nature and amount of the expense prior to incurring the charge; (ii) the Customer explicitly agrees to the charge through the Platform; (iii) any expenses that you invoice the customer for remain at the location that the Service was performed; and (iv) you upload a receipt to the invoice for any additional expenses. You acknowledge and agree that you are solely responsible for obtaining consent for additional expenses from the Customer, and for resolving any disputes that may arise from additional expenses.
Customers may be given the opportunity to provide gratuities to you through the Platform, or they may choose to provide gratuities in cash. You are entitled to 100% of all gratuities paid forth by the Customer to you—whether through the Platform or in cash—and Doable acknowledges that it has no right to interfere with or obtain any gratuity paid forth by the Customer to you.
You are solely responsible for setting the rates for Services you list through the Platform. Subject to applicable Platform functionality and category requirements, you may adjust your rates at any time. Nothing in this Agreement prevents you from accepting or rejecting Service Opportunities for the purpose of earning different rates of pay.
You understand that Doable may ask for your tax identification number, and you agree to provide Doable with such information. We need this information in order to send you an accurate and appropriate IRS Form 1099 on a calendar basis. If you fail to provide Doable with your tax identification number, you are responsible for any penalties that you become subjected to for failing to furnish your tax identification number to us, and Doable may suspend your access to the Platform until you provide your tax identification number to us.
You agree to indemnify, protect, defend, and hold harmless Doable and any of its parent, subsidiary, affiliate, and/or partnered companies, and any of Doable's past and present successors, assigns, officers, owners, directors, agents, representatives, attorneys, and employees from and against any and all claims, demands, damages, suits, losses, liabilities arising out of or in relation to (i) any act or omission by you or your Personnel in connection to your performance of the Services or use of the Platform, including but not limited to property damage, personal injury, or death; (ii) your breach of this Agreement or any applicable laws or regulations; (iii) any and all tax liabilities and responsibilities for payment of all federal, state and local taxes, including, but not limited to all payroll taxes, self-employment taxes, workers compensation premiums, and any contributions imposed or required under federal, state and local laws, owed by you and/or your Personnel as a result of using the Platform to perform Services; and (iv) all costs of your business, including without limitation the expense and responsibility for any and all applicable insurance, local, state or federal licenses, permits, taxes, and assessments of any and all regulatory agencies, boards or municipalities.
You acknowledge and agree that your responsibilities under this Section 6 shall include the cost of defense, including attorneys’ fees, and the payment of any final decision made against, or settlement agreed upon by Doable or any of the Indemnitees.
Your obligations under this Section 6 shall survive termination of this Agreement.
You and Doable (the “Parties”) agree that this Mutual Arbitration Agreement shall be governed by the Federal Arbitration Act (9 U.S.C. §§ 1-16) (“FAA”), even in the event that either or both Parties are exempted from the FAA. In the event, and only in the event, that the arbitrator determines the FAA does not apply, the state law governing arbitration agreements in the state in which you provide a majority of the Services shall apply.
The Parties mutually agree to resolve any and all disputes, conflicts, controversies, or claims (each, a “Claim”) between you and Doable arising out of or in relation to this Agreement, including your classification as an independent contractor; payments received by you; the deactivation or suspension of your account; Services performed by you; the breach of this Agreement, express or implied; Claims of harassment, discrimination, defamation, and/or retaliation, and Claims arising under or related to any law, ordinance, or regulation (or their respective state or local equivalents), including but not limited to the Civil Rights Act of 1964, Americans with Disabilities Act, Age Discrimination in Employment Act, Family Medical Leave Act, Fair Labor Standards Act, state and local wage and hour laws, state and local statutes or regulations addressing the same or similar subject matters; personal, physical, or emotional injury (excluding any claims covered under the Workers’ Compensation Act, including benefit claims); and all other claims arising out of or in relation to your relationship with Doable, or the termination thereof, by arbitration, rather than in court. To clarify, the Parties explicitly agree to resolve all Claims through arbitration, and, to the fullest extent permitted by applicable law and except as outlined within this Mutual Arbitration Agreement, explicitly waive their right to have any Claim resolved in a court, except as set forth in this Mutual Arbitration Agreement. The Parties further agree that resolving disputes through arbitration rather than in court has mutual benefits for the Parties, such as a faster, less expensive resolution.
The Parties agree that this Mutual Arbitration Agreement shall apply solely to claims between you and Doable, and not any claims involving or brought by Customers, other Pros, other users of the Platform, or any other non-signatory third party. Furthermore, any claim that, under applicable law, cannot be subject to a mandatory arbitration agreement shall not be covered by this Mutual Arbitration Agreement.
The Parties agree that at least 30 days prior to commencing arbitration against the opposite party, the complaining party shall notify the opposite party of any Claim and, in good faith, attempt to resolve the Claim informally. Individual resolution(s) will occur through a phone or video call. The Parties agree to schedule and participate in the individual resolution call within the 30-day period following initial notice, unless otherwise mutually agreed. In the event you need to notify Doable that you intend to initiate an individual resolution call, please send an email with your name, email associated with your Doable account, a description of your claim, and the relief sought to help@heydoable.com. If Doable intends to initiate arbitration, we will notify you via the email associated with your Doable account and include a description of the claim and the relief sought. During the time between receiving notice and conferring via a call, the Parties are free to attempt to resolve all claims. The Parties acknowledge that notifying the opposite party and engaging in an individual resolution call is a requirement that must be satisfied prior to commencing arbitration. Failure to engage in a good faith resolution call may result in the arbitration being stayed until this prerequisite is fulfilled.
The Parties agree that (i) the arbitration proceeding will not accompany any other matters, parties, proceedings, or third parties; (ii) the Parties and the arbitrator will keep all information regarding the dispute confidential to the full extent permitted by law. Such information includes without limitation the dispute itself, content of the arbitration, awards, and any content provided by either party; (iii) each party shall be entitled to pay its share of the arbitration fees, including the filing fee, and any expenses of the arbitration or of the arbitrator; (iv) the arbitral tribunal shall be appointed exclusively by the arbitrator in compliance with the AAA Rules; and (v) the Arbitrator’s decision is final and binding on you and Doable.
Class Action Waiver - IMPORTANT. By entering into this Agreement, and to the fullest extent permitted by applicable law, the Parties mutually agree to waive their right to have any Claim brought, heard, pursued, or to participate in any, class, representative, consolidated, or collective action. All Claims must be brought on an individual basis. The parties expressly waive any right to maintain or participate in any class, collective, or representative action in arbitration or in court. Notwithstanding any other provision in this Mutual Arbitration Agreement, or the AAA Rules; (i) Only a court of competent jurisdiction, not an arbitrator, shall have the authority to determine the enforceability, validity, or scope of this Class Action Waiver; and (ii) In the event that any part of this Class Action Waiver is determined to be unenforceable for any reason, that part shall be severed and the remainder of this Class Action Waiver shall remain in full force and effect, and any claim that may only proceed on a class, collective, or representative basis as a result of such severance must be litigated in a court of competent jurisdiction and not arbitration.
Nothing in this Agreement prevents you from making a report to or filing a claim or charge with the Equal Employment Opportunity Commission, U.S. Department of Labor, U.S. Securities and Exchange Commission, National Labor Relations Board, or Office of Federal Contract Compliance Programs. Nothing in this Mutual Arbitration Agreement prevents a government agency from investigating any report, claim or charge otherwise covered by this Mutual Arbitration Agreement. Further, nothing in this Mutual Arbitration Agreement shall be deemed to prevent or excuse a party from bringing an administrative claim before an agency to fulfil that party’s obligation to exhaust administrative remedies before making a claim in arbitration.
The Parties agree that any arbitration shall be administered by the American Arbitration Association (“AAA”) and governed by the AAA’s applicable rules, including the AAA Commercial Arbitration Rules and, if applicable, Mass Arbitration Supplemental Rules (collectively, “AAA Rules”). A copy of the AAA Rules can be obtained at www.adr.org, or by searching online for “AAA Arbitration Rules.” If the AAA is unavailable or unwilling to administer the arbitration, the Parties agree to confer in good faith to mutually select an alternative arbitrator. If for whatever reason the Parties are unable to mutually agree on an alternate arbitrator, either party may apply to a court of competent jurisdiction for appointment of a neutral arbitrator. To ensure a cost-effective solution for both Parties, all arbitration hearings shall be conducted remotely via video call unless (i) the Parties mutually agree otherwise in writing, or (ii) the arbitrator instructs otherwise. Regardless of the arbitrator selected, the arbitrator must resolve any and all Claims on an individual basis.
The Parties agree that the terms set forth in this Section 7 shall survive the termination of this Agreement and the termination of the relationship of the Parties, regardless of the reason for such termination.
Through your use of the Platform, providing Services, or your relationship with Doable, you may gain access or be exposed to confidential and proprietary information, including but not limited to information relating to Doable's business operations, such as strategic, technical, and financial information, or trade secrets, information relating to another User (such as names, contact information, addresses, or booking information) (collectively, “Confidential Information”). By entering into this Agreement, you agree to (i) hold and maintain any and all Confidential Information in strict confidence and take all reasonable precautions to prevent unauthorized use or disclosure of such Confidential Information; (ii) not disclose, use, or otherwise make available any Confidential Information without the prior written consent of Doable, except as required to perform the Services in compliance with this Agreement or as required by law; (iii) use Confidential Information solely for the purpose of performing Services in accordance with this Agreement; and (iv) notify Doable in writing (including by email at help@heydoable.com) in the event that you are required by law to disclose, use, or make available any Confidential Information, prior to the disclosure of such Confidential Information, and cooperate with Doable in seeking an appropriate protective order or other appropriate remedy. If attempts at seeking an appropriate protective order or other remedy are unsuccessful, you agree to only disclose the portion of Confidential Information that you are legally obligated to.
This obligation of confidentiality survives the termination of this Agreement and your use of the Platform.
This Agreement is effective immediately upon your acceptance of this Agreement, including if you create a Pro account, and even if you are not eligible or choose not to perform any of the Services. You may terminate this Agreement immediately, and at any time, upon written notice to Doable (including by email at help@heydoable.com). If you fail to complete an accepted Service Opportunity as a result of your termination of this Agreement, you may be subjected to any damages, liabilities, or costs that result from such failure. Doable may terminate this Agreement and deactivate your Pro Account immediately upon written notice (including by email) for any of the reasons outlined in our Pro Guidelines, which is incorporated into this Agreement by reference.
Doable reserves the right to modify, amend, or update this Agreement, or any agreement incorporated by reference herein, at any time. The revised terms for this Agreement will be posted at heydoable.com/legal/pro-agreement and the “Last updated” date at the top of this Agreement will be updated. Doable will provide notice, such as by email or notifications through the Platform, of any material changes before the revised Agreement becomes effective. If you disagree with the revised terms, you may terminate this Agreement through means provided in this Agreement. We encourage you to review this Agreement periodically and familiarize yourself with the effective Agreement, because as long as you use or access the Platform, you are agreeing to the effective Agreement. Your continued use of the Platform or performance of Services after the revised terms become effective shall constitute your acceptance and consent to the revised Agreement.
Severability. Except as otherwise provided in this Agreement, if any provision of this Agreement is declared unlawful or unenforceable, that provision shall be severed, and the remaining provisions of this Agreement shall remain in full force and effect.
No Waiver. The failure of either Party to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by that Party in writing.
Captions. Captions appearing in this Agreement are for convenience only and do not in any way limit, amplify, modify, or otherwise affect the terms and provisions of this Agreement.
Payment Processing. Doable uses Stripe for its payment services, including to facilitate payments to Pros. By entering into this Agreement, you also acknowledge that (i) you agree to the use of Stripe for processing payments through the Platform; (ii) you have read, understand, and agree to be bound by the Stripe Services Agreement, and the Stripe Privacy Policy; and (iii) you agree to provide accurate and complete information as required by Stripe and to keep such information updated.
